Terms of Service

Welcome to HireLab, operated by HireLab Technologies, Inc. ("HireLab," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you and HireLab Technologies, Inc., governing your access to and use of our website, applications, and services (collectively, the "Services").

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.

For purposes of these Terms:

• "Account" means the account you create to access our Services.
• "Content" means any text, data, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials.
• "User Content" means any Content that you submit, upload, post, or otherwise transmit through the Services, including but not limited to resume files, job descriptions, and company information.
• "Analysis Results" means the feedback, suggestions, scores, and recommendations generated by our AI-powered analysis of your User Content.
• "Subscription" means a paid membership plan that provides access to premium features of the Services.

3.1 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Registration

To access certain features of the Services, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:

• Use a strong, unique password for your Account
• Not share your Account credentials with any third party
• Notify us immediately of any unauthorized access or security breach
• Log out of your Account at the end of each session

We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

HireLab provides AI-powered resume analysis and optimization services designed to help job seekers tailor their resumes to specific companies and roles. Our Services include:

• Resume upload and parsing (PDF and DOCX formats)
• AI-powered analysis of resume content, structure, and formatting
• Company values alignment analysis
• ATS (Applicant Tracking System) optimization scoring
• Bullet point suggestions and rewrites
• Language quality assessment
• Quantification and impact analysis
• Role-specific tailoring recommendations
• Analysis history and tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you.

5.1 Subscription Plans

HireLab offers the following subscription options:

• Free Plan: Limited access with basic features
• Essential Plan: Weekly or monthly subscription with expanded features
• Pro Plan: Monthly subscription with unlimited analyses and premium features

5.2 Billing & Payments

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method. You agree to:

• Provide current, complete, and accurate billing information
• Promptly update your payment information if it changes
• Pay all charges incurred under your Account

5.3 Subscription Renewals

Monthly subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee. We will provide reasonable notice of any fee changes.

5.4 Cancellation

You may cancel your subscription at any time through your Account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of that period.

5.5 Refund Policy

Refunds are handled on a case-by-case basis at our sole discretion. Generally:

• Per-resume purchases are non-refundable once analysis is complete
• Monthly subscriptions may be refunded within 7 days of initial purchase if no analyses have been performed
• Partial refunds are not provided for unused portions of subscription periods

5.7 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your purchase.

6.1 Your Content Ownership

You retain all ownership rights in your User Content. You are solely responsible for your User Content and the consequences of posting or publishing it.

6.2 License Grant to HireLab

By submitting User Content to the Services, you grant HireLab a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, process, adapt, modify, and analyze your User Content solely for the purpose of providing the Services to you. This license terminates when you delete your User Content or Account, except for backups and cached copies retained for a reasonable period.

6.3 Analysis Results

The Analysis Results generated by our AI are provided to you for your personal, non-commercial use. You may use, modify, and incorporate Analysis Results into your own resume materials. However, you may not resell, redistribute, or commercialize Analysis Results.

6.4 HireLab Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, and other content provided by HireLab (excluding User Content), are the property of HireLab and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

6.5 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without compensation or attribution.

You agree NOT to use the Services to:

• Upload malicious files, viruses, or code that could harm our systems
• Attempt to gain unauthorized access to our systems or other users' Accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems (bots, scripts) to access the Services without permission
• Impersonate another person or entity
• Upload content that infringes intellectual property rights
• Upload illegal, offensive, or discriminatory content
• Resell or redistribute the Services without authorization
• Circumvent usage limits or access restrictions
• Interfere with or disrupt the Services or servers
• Collect or harvest user information without consent
• Use the Services for any illegal purpose

Violation of this policy may result in immediate termination of your Account without refund.

IMPORTANT: HireLab uses artificial intelligence technology (including OpenAI's GPT models) to generate Analysis Results. You acknowledge and agree that:

• AI-generated suggestions are not guaranteed to be accurate, complete, or suitable for your specific situation
• You are solely responsible for reviewing, verifying, and deciding whether to use any Analysis Results
• HireLab does not guarantee job placement, interview callbacks, or employment outcomes
• Analysis Results are suggestions only and should not be considered professional career advice
• You should independently verify any factual claims before including them in your resume
• AI models may occasionally produce unexpected, biased, or inappropriate output
• The quality of Analysis Results depends on the quality and completeness of your input

You agree that HireLab is not liable for any consequences arising from your use or reliance on AI-generated Analysis Results.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, HIRELAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANALYSIS RESULTS
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE RESULTS YOU MAY OBTAIN FROM USING THE SERVICES

We do not warrant that the Services will meet your requirements or that defects will be corrected. Your use of the Services is at your sole risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, HIRELAB AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
• ANY LOSS OF JOB OPPORTUNITIES OR EMPLOYMENT
• ANY DAMAGE TO YOUR PROFESSIONAL REPUTATION
• ANY DAMAGES RESULTING FROM YOUR RELIANCE ON ANALYSIS RESULTS

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO HIRELAB IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless HireLab and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Any false or misleading information you provide in your resume

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

12.1 Termination by You

You may terminate your Account at any time through your Account settings. Upon termination, your subscription will be cancelled and you will lose access to premium features at the end of your billing period.

12.2 Termination by Us

We reserve the right to suspend or terminate your Account and access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Services or other users
• Non-payment of fees
• Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your Account and User Content from our systems. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to warranties, disclaimers, indemnification, and limitations of liability.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@hirelab.ai and attempt to resolve the issue informally. We will do the same if we have a dispute with you.

13.3 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California, or remotely by videoconference.

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration.

13.4 Exceptions to Arbitration

Either party may bring a lawsuit in court for:

• Intellectual property disputes
• Small claims court actions (if eligible)
• Injunctive or other equitable relief

13.5 Jurisdiction & Venue

If arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

14.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Services at least 30 days before the effective date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HireLab regarding the Services and supersede all prior agreements and understandings.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of HireLab.

14.5 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.

14.7 Export Compliance

You may not use or export the Services in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited parties.
